What is a Money Service Business.

A final rule issued in 1999 by the Secretary of the Treasury revised the regulatory definitions of certain non-bank financial institutions for purposes of the Bank Secrecy Act (BSA) and grouped the definitions into a separate category of financial institution called ""money services businesses"" or ""MSBs.""

A MSB that meets one or more of the definitions of a type of MSB is an MSB and must comply with BSA requirements applicable to it as an MSB, as a financial institution and as a specific type of MSB.


The capacities in which a business might be acting that could bring it within the definition of an MSB are:

Since 1996, the Money Services Businesses have operated in the Greater Toronto Area.
They presently have three locations. (Mississuaga, Downtown Toronto and Scarborough, Ontario.)
They provide Pawn Brokering ( 18 carat gold only.) There is approximately 400K in inventory. (Collateral).

They also provide fund transfer services around the world through Western Union, Check Cashing Services and Car Title Loan Financing.
They also have a Corporate Client Services Division through which they cash cheques for Corporate Clients who do not want to wait for the customary five day hold on funds by their financial institutions and provide Discount Foreign Exchange Services.

They also own 2 UHAUL Licences:
1. Missisauga, Ontario.
2. Scarborough, Ontario.

They are presently expanding into the Used Car Rental Business..
U.R.N. Direct is presently negotiating the purchase of the first fleet of ten used cars (wholesale) for their Used Car Rental Agency which they will operate from Mississuaga and Scarborough, Ontario.

Funds are needed now to:-
1. Reduce the rate of return they are presently paying for their Vault Cash (Float) to their Investors.
They would like to pay between 0.8%/month to 1.75%/month for the money.
2. Increase the Vault Cash (Float) to increase their daily business cash flow and retain customers who would go elsewhere (e.g. Money Mart, Cash Money) for their services.
3. Finance the ten (10) Used Cars Inventory for the Used Car Rental Division. These vehicles will be part of the collateral for the lending partners.
4. Increase their Vault Cash (Float) to directly finance the Car Title Loans Business instead of brokering it to Cashland Financial for a commission.
These Car Title Loan assets would also be a part of the collateral for the lending partners.
5. Replace the Lines of credits which were withdrawn by their banks due the the Banking Industry change of policy in financing Money Services Businesses.

A revolving line of credit of CD$250,000.00 will be structured for this Money Services Business, Renewable annually, Payable at 0.8% to 1.75% monthly by electronic transfer to the Participants Bank Account.

Maximum Participation accepted is C$50,000.00.
Minimum Participation accepted is C$2,500.00
